    Corporate Counsel – SEC Reporting/Corporate Governance-

    • Provide guidance and ensure compliance on applicable securities laws and regulations, stock exchange (as applicable) rules, and related regulatory compliance activities.
    • Prepare, in conjunction with Director of SEC Reporting, securities filings (Forms 10-K, 10-Q, 8-K, and Section 16 filings), as well as Proxy Statement and annual shareholder meeting materials.
    • Advise on corporate governance issues for the company, including keeping the Board and senior executives informed of corporate and legal responsibilities, NASDAQ listing requirements and best practices.
    • Draft, review and prepare/distribute Board and Board committee materials.
    • Advise internal team on various areas of Public Company disclosure, including earnings releases, press releases, Regulation FD, etc.
    • Legal advice on a variety of complex corporate/financial transactions including M&A and credit facility.
    • Provide legal support on HR, employment, and equity comp related issues; assist in administration of equity plans.
    • Draft and advise on various corporate governance documents, including corporate governance guidelines, committee charters and insider trading policies.
    • Drafting, reviewing and proofreading agreements and other documents and handling document distributions
    • Organizing and archiving corporate records and Board/committee materials
    • Responding to regulatory-related requests and reviewing documents for compliance with regulatory requirements
    • Provide legal support services to GC in the form of basic legal research, agreement drafting and compliance

    Requirements


    Qualifications:

    • Licensed to practice law in the US, preferably NY
    • Top-tier law school and corporate law firm experience preferred
    • 3-4 years of general corporate experience, specializing in corporate governance and securities law
    • Strong organizational, analytical, written, and verbal communication skills
    • Familiarity with ’33 and ’34 Act filings
    • Experience analyzing issues associated with public entities, and handling various transactional and business planning matters preferred
    • Detail oriented and ability to identify and diligently resolve problems
    • Highly motivated, self-starter who takes initiative
    • Excellent organizational and time management skills – ability to prioritize and juggle multiple tasks
    • Knowledge of advertising, promotional marketing, data privacy and technology law a plus.
