Investment Banking Associate – Strategic & Acquisition Finance

Environment

The Strategic Acquisition Finance group underwrites and executes corporate strategic and acquisition financings, including engaging in credit, diligence and legal processes of financing such transactions. This also includes marketing and pitching transformative transactions to SG’s core clients of all industries in the United States, Canada and Latin America on the topics of acquisition financing and capital structure optimization.

Mission

Day-to-Day Responsibilities:
Marketing & Deal Origination
  • Create advisory solutions through producing pitch materials for clients
  • Assist senior bankers in identifying potential advisory ideas for clients
  • Identify trends with clients, the clients’ industry, and overall merger & financing market in order to understand clients’ needs
  • Supervise and train analysts in credit and financial analysis
  • Build and review cash flow projection models, as well as evaluate various types of transactions, including: acquisition financings, recapitalizations and restructurings
  • Analyze ratings and credit scenarios for potential transactions
  • Coordinate between different teams to structure multiproduct solutions and create a cohesive presentation, including: Industry Coverage, Debt & Equity Capital Markets, Mergers & Acquisitions, Ratings Advisory, and Loan Syndicate, Derivatives, etc.
Transaction Execution
  • Lead the development of internal underwriting materials including financial analysis and credit memoranda
  • Lead due diligence, including financial, business, industry, and legal
  • Understand and take part in the legal documentation process
  • Define the risks, mitigants and investment highlights in underwriting or participating in a transaction
  • Liase with credit officers, legal and other transaction groups to underwrite the transaction

Profile

Qualifications:
  • Ability to be a team player with strong interpersonal skills
  • Knowledge of credit, due diligence, and running internal deal / approval processes
  • Excellent written and verbal communication skills
  • Knowledge of financial accounting concepts and corporate finance valuation
  • Understanding of credit documentation, including credit agreements and indentures
  • Financial modeling, including experience with three-statement financial modeling, including detailed operating builds and capital structure scenarios
  • Experience training and working with junior resources
  • Proficient in Microsoft Excel, PowerPoint and Word
Desired / Plus:
  • Formal credit training
  • Understanding credit ratings methodology
Experience Needed:
  • Minimum of 3 years of relevant work experience (in mergers & acquisitions, leveraged finance, corporate finance, investment banking, ratings, industry coverage, credit or related fields)
Educational Requirements: Bachelors degree from a top tier University, MBA is a plus
