JOB SUMMARY:

Participate as a team member and assist attorneys and paralegals in both the Corporate and Hedge Fund groups. Assist with managing, filing, proofreading and drafting documents and information related to hedge funds. Availability for overtime and flexibility for travel are required.

ESSENTIAL FUNCTIONS:

  • Assist with new fund formations or winding down of funds, including drafting of entity formation or dissolution documents and coordination of state registrations and qualifications. Draft annual report filings as needed.
  • Track, calendar, and maintain documents, investor information and institutional information for fund clients via spreadsheets and databases.
  • Complete and file various substantive forms with the IRS and government regulatory agencies as needed.
  • Draft and process legal response letters in connection with audit requests in compliance with established firm processes.
  • Process KYC/AML search requests as needed.
  • Retrieval of certified copies of corporate documents, certificates of good standing and legal existence and related documents from state officials for fund transactions or when otherwise requested.
  • Perform public searches of all kinds, including federal and secretary of state records; prepare charts to illustrate results.
  • Review printer proofs (proofreading).
  • Draft closing documents including, but not limited to, closing certificates, partnership and operating agreements and side letters.
  • Assist in closing binder preparation and distribution, and with other corporate document distributions.
  • Assist with tasks in connection with closing of corporate transactions, including preparation of signature page packets, tracking execution status of documents and the maintenance and organization of corporate closing rooms, whether physical or electronic.
  • Maintain client template forms and protocols for client-specific projects

    OTHER RESPONSIBILITIES:

    Performs other work-related duties as assigned by other corporate paralegals and other individuals within the corporate management structure.

    EDUCATION, EXPERIENCE AND SKILLS REQUIRED:

    The successful candidate will have a bachelor’s degree from a top-ranked institution. The position will involve significant contact with lawyers and paralegals at the Firm and requires strong interpersonal and communication skills. The candidate must be a demonstrated self-starter who is both highly organized and a team player.

    WORKING CONDITIONS:

    Normal office environment. Incumbent is expected to work the hours necessary to fulfill the responsibilities of the position.
