Associate, Healthcare Investment Banking

Duties: Provide Investment Banking expertise in the area of Healthcare Mergers & Acquisition and capital raising, including financial analysis, company valuation, deal structuring, business terms of transaction documents, negotiation tactics, and process management to clients and Product partners. Prepare marketing materials for Healthcare clients including market overview and landscape, deep dives, valuation analysis, potential acquisition targets and prospective buyers. Create, formulate and review complex financial models and valuation analyses including Discounted Cash Flows (DCF), Trading Comparables, Precedent Transactions Comparables, Sum of the Parts (SOTP), Analysis at Various Prices (AVP), Accretion / Dilution, IPO math, Leveraged Buyouts (LBO), Ability to Pay and merger models. Analyze Pharmaceutical partnerships, including governance, milestones, and upfront payments. Advise clients on quantitative and analytical strategic corporate finance practices and work alongside senior bankers in providing relationship support and executing transactions. Run start-to-finish Healthcare M&A transaction processes, including drafting marketing materials (such as Confidential Information Memorandums (CIM) and Management presentations), coordinating due diligence process, and advising clients on negotiations. Run start-to-finish Healthcare Equity and Debt capital raises, including IPOs and Follow-ons. Coordinate drafting of prospectus, marketing outreach, investor education, road shows, and due diligence. Interact with client management teams, transaction counterparties as well as other advisors (lawyers, accountants, etc.). Responsible for designing and producing client deliverables (such as Board of Directors presentations, Strategic Alternatives and Market Overview presentations) by working independently, anticipating client needs, and soliciting and receiving client input.. Coordinate "full cycle" transaction execution and creation of marketing materials, ensuring smooth work flow between junior and senior teams. Work and develop strong relationships with product partners including M&A, Equity Capital Markets (ECM), Debt Capital Markets (DCM) and Leveraged Finance, Corporate Finance Advisory (CFA). Deliver J.P. Morgan’s comprehensive platform to clients, including knowledge from product partners in M&A, Debt Capital Markets and Equity Capital Markets and Corporate Finance Advisory and Private Banking. Participate in building the business over the long term by developing individual expertise in the Healthcare industry and developing strong relationships with client counterparties.
Minimum education and experience required: Master’s degree or equivalent in Business Administration, Finance, or related field and 2 years of experience in Financial modeling, acquisitions and divestitures, or related experience OR Bachelor’s degree or equivalent in Business Administration, Finance, or related field and 5 years of experience in Financial modeling, acquisitions and divestitures, or related experience.

Skills required: Must have experience applying financial valuation methodologies including discounted cash flow (DCF), adjusted present value, precedent transactions, trading comparables, leveraged buyout (LBO) and return on investment (ROI) analyses. Must have experience in a leading global bank working with cross functional teams. Must have experience building financial models, including 3-statement operating models, 3-statement merger modeling and spin-off and divestiture models. Must have demonstrated knowledge of corporate finance. Must have demonstrated knowledge of the healthcare industry and specific sub-sectors. Must have experience preparing marketing materials including but not limited to Teasers, Information Memoranda, Management Presentations. Must have experience analyzing complex financial statements. Must have experience interacting with clients, providing financial solutions and advice. Must have experience working on multi-disciplinary teams with multiple stakeholders. Must have experience managing projects with multiple concurrent workstreams.
